Certainly. We propose an enterprise value of 250 million USD on a cash and debt-free basis, with normalized working capital of 30 million USD. The structure will be a stock purchase with standard adjustments. We request 90 days of exclusivity for confirmatory due diligence, with mutual break fees of 5 million USD each, and we are ready to sign immediately.

This protects both sides fairly.
